Terms & Conditions

1. Professional Services & Scopes

All software engineering, website development, system integration, and consulting engagements are governed by formal project scope agreements and Statements of Work (SOW).

2. Source Code & Data Ownership

Clients retain full ownership of custom application source code, databases, and assets upon project completion and settlement of agreed invoices.

3. Maintenance & Service Level Agreements

Service Level Agreements (SLAs) with scheduled uptime targets and support response windows are defined under dedicated maintenance agreements.

4. Third-Party Integrations & Payment Gateways

International payment integrations and third-party APIs are available subject to merchant eligibility and provider availability.

5. Payment Milestones & Commercial Invoicing

Standard commercial projects are invoiced under defined milestone structures:

  • Fixed-Scope Projects (≤ K8,850): Invoiced 50% upon contract commencement and 50% upon formal client acceptance / go-live.
  • Custom Enterprise Systems: Invoiced across structured development milestones: 30% project commencement, 30% core architecture delivery, 30% user acceptance testing (UAT), and 10% final production handover.
  • Recurring Services: Cloud hosting, website care plans, POS synchronization, and App Store maintenance are invoiced one month in advance.

6. Third-Party & Upstream Fees

Project quotes cover KraipTech professional engineering services only. Third-party infrastructure costs—including official .com.pg domain registry fees, Apple Developer and Google Play Console registration fees, BSP or Kina Bank merchant account facility fees, SMS gateway credits, Meta WhatsApp API conversation fees, and Google Workspace or Microsoft 365 user licences—are billed separately at cost or paid directly to upstream providers.

7. Governing Law

These terms and associated client agreements are governed by the commercial laws of Papua New Guinea.
